Decree-Law No. 34/2022 authorizing Electra S.A. to proceed with the dissolution of Electra Sul and Electra Norte, and authorizes the constitution of new public limited companies, through a simple spin-off of Electra S.A.

This Decree-Law authorizes Empresa de Eletricidade e Água – ELECTRA S.A. (Electra S.A.), to proceed with the extinction of Electra Sul and Electra Norte. In particular, the following are extinct: a) The sub-concession contracts of the establishment for the operation of transport and supply of electricity and water and for the collection and treatment of wastewater for reuse in the Barlavento and Sotavento Islands and the reversion to Electra S.A. assets, transport and distribution activity as a whole; b) The contracts for the assignment of the establishment for the production of electricity and desalinated water in the islands of Barlavento and Sotavento Islands. It establishes the reversal of the assets, transport and distribution activities, as well as the exploration of the production of electricity and desalinated water, as a whole, for Electra S.A. In order to highlight part of Electra S.A.'s assets, and to make the commercial activity of production of electric energy by thermal means, a company is created named Empresa de Produção de Eletricidade de Cabo Verde (EPEC), S.A., in the City of Praia, aimed to the production of electric energy by thermal means throughout the national territory.
