Abstract
The Groceries (Supply Chain Practices) Market Investigation Order 2009 was made by the Competition Commission under section 161 of the Enterprise Act 2002 and approves the Groceries Supply Code of Practice (the Code) contained within schedule 1 of the Order.
The Order imposes specific duties and obligations related to the Code of Practice on the Designated Retailer, as defined under Art. 4, when enters into or performs a Supply Agreement; these include the duty of incorporating the Code and excluding any provisions that are inconsistent with the Code (art. 5) and the duty to provide certain information to Suppliers (Art. 6). The Designated Retailer is also required to provide information to the Office of Fair Trading - OFT (Part 3) and respect certain compliance obligations (Part 4), such as staff training, appointment of compliance officer. Part 5 concerns dispute resolution between Supplier and Designated Retailer. Schedule 3 contains provisions for a force majeure clause.
The Code contains provisions on principle of fair dealing, variation of Supply Agreements and terms of supply, changes to supply chain procedures, prices and payments forms and rules, promotions and other issues.
