Abstract
This Act amends and consolidates the law relating to companies provides for establishment of the Office of the Registrar of Companies and provide for related matters. This Act applies to companies formed in the Republic of Ghana and provides provision on formation of companies, application and incorporation process, powers and authority of companies, corporate governance and shareholding structure, liability of members, stated capital and dividends, decision making and resolutions, transfer of share, accounts and auditing and winding up. The Act provides for the provision that is applicable separately to public and private companies and external company that is defined as a company with a body corporate formed outside the Republic which, has an established place of business in the country. The Act further provides regulations on the offences, legal proceeding and general provisions.
This Act consists of 387 Articles divided into 6 Schedules as Definitions (1); Constitution for a Private Company Limited by Shares (2); Constitution for a Public Company Limited by Shares (3); Constitution for a Company Limited by Guarantee (4); Contents of Annual Return (5); Financial Statements (6); Matters to be Expressly Stated in the Report of the Auditor (7); Procedure for General Meetings (8); Form of Statement in Lieu of Prospectus and Financial Statement and Report to Accompany the Statement (9); Contents of Prospectus on General Invitation (10).
