Legislative Decree No. 254/2016 implementing Directive 2014/95/EU of the European Parliament and of the Council amending Directive 2013/34/EU as regards disclosure of non-financial and diversity information by certain large undertakings and groups.

This Legislative Decree is adopted pursuant to Directive 2014/95/EU of the European Parliament and regards disclosure of non-financial and diversity information by certain large undertakings and groups which are public-interest entities. Art 2 clarifies the parameters to be classified under the Decree as large undertakings (number of employees and balance sheet).
Art 3 establishes the content of non-financial statement; the statement must contain information to the extent necessary for an understanding of the undertaking's development, performance, position and impact of its activity, relating to, as a minimum, environmental, social and employee matters, respect for human rights, anti-corruption and bribery matters. The statement should include in particular undertaking's business model, description of the policies pursued by the undertaking in relation to those matters, and the principal risks related to those matters linked to the undertaking's operations. Art 4 provides for regulation of consolidated non-financial statement, statement required to be submitted by public-interest entities which are parent undertakings of a large group.
Art 5 establishes disclosure regime, Art. 6 exclusions, Art 7 regulates voluntary statements, Art. 8 penalties.
