Abstract
This Law establishes setting up, governance, activities, reorganization and termination of public institutions, as well as the basis for the participation of the state and municipalities in public institutions. Public institution shall be intended a non-profit public legal entity with limited civil liability established in accordance with this and other laws, whose purpose is to satisfy public interests by providing public services and/or performing other activities beneficial to society. A public institution is prohibited from: (a) engaging in activities that do not meet the goals of their activities; (b) allocating the received surplus (profit) to other operational purposes than those stipulated in the statutes of the public institution; (c) transferring the property of a public institution to a shareholder of a public institution or a person related to it on the basis of ownership, trust or usufruct, except for the case provided for in paragraph 8 of Article 27 of this Law; (d) borrowing money for interest from a shareholder or a person related thereto; and (e) ensuring the fulfillment of the obligations of other persons. The founders of the public institution, having transferred the contribution to the public institution in accordance with the procedure established by this law and the statutes of the public institution, become its shareholders. The state and/or municipalities can be public institutions that provide public services and/or have public administration powers, public institutions that are established to ensure cooperation between economic entities and public administration entities that regulate and/or supervise their activities. The number of founders of a public institution is not limited. The founders of a public institution or their authorized persons sign the contract of establishment of a public institution, and the sole founder or his authorized person - the act of establishment of a public institution or municipal institution. The statutes of a public institution are the founding documents by which the public institution is guided in its activities.
