Abstract
The Myanmar Companies Law (2017) establishes a modern legal framework for the incorporation, regulation, governance and dissolution of companies in Myanmar. Its principal objectives are to facilitate investment and economic development by simplifying company formation procedures, defining different types of companies, clarifying the legal status and powers of companies, and creating a transparent system for company registration and administration. The law regulates the rights and obligations of shareholders, directors and officers, introduces rules on company constitutions, share capital, corporate governance, mergers and restructurings, and provides a framework for the operation of both domestic and foreign-owned companies.
The law also aims to strengthen investor protection, corporate accountability and business transparency. It establishes duties and responsibilities for directors and officers, requires the maintenance of company records and financial statements, regulates public offers of shares and securities, governs mortgages, charges and insolvency proceedings, and provides mechanisms for shareholder remedies, inspections, investigations and enforcement. In addition, the law modernises Myanmar’s corporate regulatory system by defining the powers of the registrar, introducing procedures for foreign companies to operate in Myanmar, and establishing detailed rules on corporate restructuring, winding up and dissolution, thereby promoting confidence in the business environment and supporting sustainable private-sector growth.
