Sale of Goods and Supply of Services Act, 2017.

The Sale of Goods and Supply of Services Act, 2018 establishes the legal framework governing contracts for the sale of goods and the provision of services in Uganda. Goods include emblements, growing crops, and unborn young of animals. It sets out the rights and obligations of buyers, sellers, and service providers, including rules on contract formation, transfer of property and risk in goods, delivery, acceptance, and payment. The Act implies certain conditions and warranties—such as that goods must correspond with their description, be of satisfactory quality, and be fit for their intended purpose—and it provides remedies when these obligations are breached, including rejection, repair, replacement, or damages. For services, the law requires that they be performed with reasonable care and skill, within a reasonable time where none is fixed, and for a reasonable charge if the price is not predetermined. Overall, the Act aims to modernize commercial law in Uganda, protect parties in commercial transactions, and clarify legal remedies in disputes involving goods and services.
