Abstract
The Decree Law No. 21 of 2012, defines the objective and subjective scope, type, conditions and procedures for the exercise by the State of the golden powers (also through secondary legislation). These are, in particular, powers that can be exercised in the defense and national security sectors, as well as certain areas of activity defined as being of strategic importance in the energy, transport and communications sectors.
Golden powers include imposition of specific conditions relating to safety of procurement, veto to the adoption of certain resolutions by the shareholders' meeting having for instance as object the merger or the division of the company, opposition to the purchase, for any reason, of equity investments in an undertaking.
